Contract clause summary

What it does

Summarises the key clauses of a contract you paste into a plain-language table (parties, term, renewal, payment, liability, termination, confidentiality, data protection, governing law) with clause references and points to review. Use it to brief a business stakeholder — not as legal advice.

What you give it

  • Contract text (only in approved tools) — e.g. Clause 3 Term: 12 months, auto-renews... Clause 9 Liability: capped at fees paid in the prior 12 months...
  • Who the summary is for (optional) — e.g. Procurement manager

How it works

  1. Summarise only what the text says; quote clause numbers.
  2. Write "not found" for topics not covered.
  3. Flag unusual or one-sided terms as review points, without concluding they are unlawful or acceptable.
  4. Never give a legal opinion — list questions for counsel instead.

Output

Table: Topic · What it says (plain words) · Clause ref · Review point. Then Missing clauses and Questions for counsel.

Quality checklist

  • ☑ Clause references
  • ☑ 'Not found' where missing
  • ☑ No legal conclusions

Human check: A qualified lawyer must review the contract; this summary is not legal advice.

Example (fictional)
